Neuburg/Danube, August 27, 2025. VIB Vermögen AG (“VIB“), a company specializing in the development, acquisition and management of commercial real estate, achieved further milestones in its diversification strategy in the first half of 2025. On the one hand, the transactions carried out enabled office properties to establish themselves as a second and equivalent asset class alongside logistics. On the other hand, the acquisition of the institutional business of Branicks Group AG, which was completed after the balance sheet date of June 30, was an important strategic development. This will significantly strengthen another pillar of VIB’s business model in the future and at the same time lay the foundation for additional high-quality growth.

Increase in gross rental income and FFO, solid balance sheet ratios

Gross rental income rose significantly by 22% year-on-year to EUR 50.2 million (previous year: EUR 41.1 million) due to the real estate transactions completed in 2024 and in the first half of 2025. As a result, annualised net basic rents as of the reporting date increased by 13% to EUR 103.5 million (previous year: EUR 91.6 million).

Funds from operations (FFO) before taxes and minority interests also rose significantly in the first half of the year compared with the same period last year, up 20% to EUR 47.8 million (previous year: EUR 40.0 million), corresponding to FFO per share of EUR 1.45 (previous year: EUR 1.21).

VIB’s total assets exceeded the two billion euro mark for the first time in the company’s history, reaching a value of EUR 2.1 billion as at June 30, 2025 (December 31, 2024: EUR 1.9 billion). The increase is mainly due to the EUR 0.3 billion rise in investment properties to EUR 1.6 billion (December 31, 2024: EUR 1.3 billion). Equity rose from EUR 932.0 million to EUR 977.1 million particularly as a result of the consolidated net profit generated. The equity ratio stood at 45.7%, compared with 49.1% as at December 31, 2024.

Balanced real estate portfolio with low vacancy rate

At the end of the first half of the year, the real estate portfolio under the umbrella of the VIB Group comprised 128 properties with a total usable floor space of 1.91 million square metres. Of these, 86 properties with a useful floor space of 0.97 million square metres are owned by VIB, while 42 properties with a floor space of 0.94 million square metres are attributable to the Institutional Business segment.

Logistics and light industrial properties accounted for 44% of the in-house portfolio, office properties for 50%, retail properties for 5% and service/other for 1%. The vacancy rate in the portfolio remained low at 4.6% as at June 30.

With the acquisition of the institutional business from the Branicks Group after the balance sheet date, this segment will experience massive growth at VIB in the future. The total volume in this business segment now comprises 147 properties with 2.6 million square metres of rentable space and a total portfolio value of EUR 8.4 billion. The office asset class dominates with a 77% share, followed by logistics with 12%, retail with 6% and mixed use/other with 5%.

The VIB Group continues to have a very solid financing structure. The average interest rate on bank loans was 2.4% per annum (December 31, 2024: 2.5% per annum). The LTV (loan-to-value) ratio, an important indicator of indebtedness, was 40.6% as of 30 June (December 31, 2024: 37.0%).

Guidance for fiscal year 2025 confirmed

Business performance in the first half of the year was in line with expectations. All sales and acquisitions were completed as planned. In the area of property management, in-house asset management by VIB Group employees continues to prove its worth. All important and control-relevant real estate KPIs and balance sheet figures developed as planned.

With the acquisition of additional office properties, we have now succeeded in firmly establishing a second, equivalent asset class alongside logistics in our portfolio. In addition, we will also grow strongly in the Institutional Business segment in the future. Both pillars, our own portfolio and the Institutional Business, will enable our company to grow significantly in the coming years and ensure stable earnings in the long term.”

In the half-year report presented, the Management Board confirms the guidance for the full year communicated in mid-March 2025 and expects gross rental income of EUR 101–105 million, FFO of EUR 78–82 million and a vacancy rate in the low single-digit percentage range.

VIB Vermögen AG (“VIB”), a company specializing in the development, acquisition, and management of commercial real estate, today announced the sale of two logistics properties in Regensburg to a European real estate investor in the warehouse and light industrial sector. The closing took place in mid-August 2025. The parties have agreed not to disclose the purchase price.

“We are pushing ahead with VIB’s diversification strategy and realignment and further sharpening the focus of our portfolio on project development and holding newer properties,” said Dirk Oehme, spokesman for the Management Board of VIB Vermögen AG, commenting on the transaction. “We are thus continuing the transformation of VIB into a well-balanced portfolio holder of commercial real estate with a focus on logistics&light industrial and office space in Germany and neighboring countries.”

The sales include a fully let single-tenant property in Regensburg, Rathenaustraße 3, built in 2006, with a plot size of 27,237 and a rental area of 10,250, as well as a multi-tenant property in Regensburg, at Irler Höhe 40 -42, built in 1978 and 1984-1989, with a plot size of 20,254 sqm and a rental area of 9,405 sqm.

Neuburg a. d. Donau, 7 August 2025: The Annual General Meeting of VIB Vermögen AG (‘VIB’), which took place virtually yesterday, approved all resolutions proposed by the Supervisory Board and the Managing Board with large majorities. In total, more than 86% of VIB’s voting share capital was represented.

The Managing Board members Dirk Oehme (Spokesman of the Executive Board) and Nicolai Greiner as well as the members of the Supervisory Board were approved for the 2024 financial year with high approval rates. The Annual General Meeting also elected Mr Jürgen Josef Overath as a new member of the Supervisory Board. He succeeds Mr Johannes von Mutius, who resigned from the Supervisory Board with effect from the end of 23 March 2025.

The Annual General Meeting also resolved to pay a dividend of EUR 0.04 per share and the creation of new conditional capital in order to ensure the best possible flexibility for VIB Vermögen AG’s corporate financing. The appointment of a special auditor requested by two shareholders was rejected by a large majority.

VIB Vermögen AG: Acquisition of the business with institutional investors of Branicks Group AG, offsetting against receivables from maturing loan

Neuburg a. d. Donau, 7 July 2025. VIB Vermögen AG (VIB), ISIN: DE000A2YPDD0, today agreed with Branicks Group AG (Branicks) to acquire its institutional business. A corresponding purchase agreement was concluded today between the parties for the business previously managed by Branicks Group AG. The volume of the transfer to VIB is around EUR 360 million.

As part of its business strategy, VIB is expanding its already established ‘Institutional Business’ division to include the management and structuring of funds, club deals and individual mandates for institutional investors in all phases of the cycle, and is taking over the operational management of this business within the Branicks Group.

Dirk Oehme, Spokesman of the Managing Board of VIB Vermögen AG, commented: “We are making step-by-step progress with the further development of our business strategy. The acquisition of Branicks Group AG’s Institutional Business with its earnings is a further milestone in this process.”

The closing of the transaction is still subject to the usual, purely formal closing conditions. Branicks and VIB have agreed that upon completion of the transfer, all claims of VIB against Branicks arising from the loan granted by VIB to Branicks on 7 July 2023 will be offset.

Neuburg/Danube, 23 June 2025 – VIB Vermögen AG (‘VIB’), a company specialising in the development, acquisition and management of commercial real estate, has made further major progress in the development and marketing of large projects in southern Germany, specifically in Erding and Ingolstadt. These two are by far the largest in the company’s existing project development pipeline, which comprises total investments of around EUR 200 million. This is expected to generate net rental income of more than EUR 12 million and thus a return on investment of around 6% after completion by the end of 2026.

The GreenBiz Park Erding project, which is ideally located for Munich Airport and the Bavarian capital, will comprise a total of 79,000 sqm when completed. Completion of the entire site is planned for 2026. Following the recently concluded rental agreement with an international automotive service provider for a total area of around 27,000 sqm and previous lettings, around 70% of the total area has already been let.

On the GreenBiz Park Erding site, VIB Vermögen AG, as project developer and landlord, is planning a mix of office and commercial buildings for users from the light industrial sector. Of the rental space totalling around 79,000 sqm, around 15,000 sqm is office, laboratory and service space and 64,000 sqm is production and storage space. There will also be a multi-storey car park with an innovative charging management system for electromobility. The first buildings of the GreenBiz Park have already been completed, with construction of further buildings due to start in late summer. The GreenBiz Park is located close to Munich Airport and has excellent connections to the A92 and A94 motorways as well as public transport in the greater Munich area and the infrastructure of the district town of Erding.

The logistics location in Ingolstadt, Bunsenstrasse, is also fully let. An international logistics service provider has been acquired as a tenant there. The property with a total rental area of 16,000 sqm will be completed and handed over to the tenant shortly.

‘The fact that we are already well advanced with marketing in Erding even before the start of the next construction phase, and that we have acquired well-known tenants with international business there as well as in Ingolstadt, shows the enormous potential that exists in both locations and the entire region,’ emphasises Nicolai Greiner, member of the management board of VIB Vermögen AG. ‘We are benefiting from the strong economic momentum in the southern regions of Bavaria in particular, and are contributing to this ourselves with our project developments.’

The closing took place on 13 June 2025. The parties have agreed not to disclose the purchase price.  

“With this sale, we are taking advantage of an attractive opportunity to further advance VIB’s diversification strategy and realignment, and to consistently develop our portfolio,” commented Dirk Oehme, Speaker of the Board, VIB Vermögen AG, on the transaction. “We are thereby continuing VIB’s transformation into a balanced portfolio holder of commercial real estate with a focus on logistics and offices in Germany and neighboring countries.”

The fully let single-tenant property in the warehouse/logistics sector is part of VIB’s commercial portfolio and was completed in 2018 on a plot of land acquired for development in 2016. It comprises a total lettable area of 30,858 sqm on a plot of 67,475 sqm and is conveniently located on the Bundesstraße 8 in Schwarzenbruck, Greater Nuremberg.

VIB Vermögen AG (“VIB“), a company specializing in the development, acquisition and management of commercial real estate, can look back on a successful fiscal year 2024. In a persistently challenging environment VIB was able to once again demonstrate the resilience of its business model. On the one hand, this was largely driven by the good performance of the logistics and light industrial asset class, which has been well established for many years. On the other hand, the company has successfully strengthened the office asset class, significantly enhancing the diversification of its overall portfolio.

FFO above guidance, gross rental income at the upper end of expectations

In 2024, the gross rental income amounted to EUR 88.9 million. This was at the upper end of the guidance of EUR 85 to 89 million, which was increased during the year, and above the previous year’s level (EUR 86.9 million). The increase is attributable to the valuable acquisitions and rent indexations, which overcompensated the property sales realized in 2024. Funds from operations before taxes and minority interests (FFO) rose significantly by around 10% to EUR 79.5 million (previous year: EUR 72.6 million), exceeding slightly the guidance of EUR 74 to 78 million raised in August 2024. The vacancy rate of 3.5% in the proprietary portfolio also reflects the expectations of the Management Board and is at a very low level compared to the industry as a whole – a proof of the high quality of the properties and VIB’s excellent asset management.

To finance the upcoming investments and project developments, the Management Board and Supervisory Board of VIB plan to propose a minimum dividend of EUR 0.04 per share to the Annual General Meeting and to retain the majority of the retained earnings for future growth.

Expansion of the office asset class reflected in a balanced portfolio structure

As at December 31, 2024, the portfolio of VIB Group consisted of a total of 153 properties with a total value of EUR 3.1 billion and a cumulative rental space of 2.04 million m². The acquisitions made in the office asset class in the past year are also reflected in the increasingly balanced portfolio structure in the proprietary portfolio (79 properties, market value of EUR 1.7 billion, rental space of 0.89 million m²). In terms of rental income, properties in the logistics and light industrial asset class accounted for 51.6% of the proprietary portfolio in 2024 and office properties for 41.1%. The remainder is divided between retail properties (6.1%) and commercial buildings or other properties (1.2%). Hence, the VIB Group successfully continued its diversification strategy in 2024 and is now very well positioned for the future with two highly profitable asset classes.

In addition to the acquisitions made, VIB took advantage of the increase in market demand and also selectively sold properties in the logistics and light industrial asset class. As part of the diversification strategy, this has not only contributed to a balanced real estate portfolio, but also to attractive gains from these sales. This confirms the value creation in respect of VIB`s 360-degree-approach.

The “Institutional Business” segment, i.e. the management of real estate properties for institutional investors, also established itself well in 2024. With income totaling EUR 7.2 million, this segment also makes an important contribution to diversifying the VIB Group’s business strategy.

VIB starts the new year confidently – significant increase in gross rental income planned for 2025

“2024 was a successful year for VIB, during which we laid the foundation for future value creation. We have significantly broadened our portfolio by strengthening the office asset class. This, and the expectations of a brightening sentiment in the real estate sector, make us optimistic about the coming quarters,” comments Dirk Oehme, Speaker of the Board of VIB. For the current financial year, the Management Board expects a significant increase of gross rental income to between EUR 101 and 105 million. Funds from operations (FFO) are forecasted to range between EUR 78 and 82 million. The vacancy rate is expected to remain in the low single-digit percentage range.

VIB Vermögen AG (“VIB”), a company specializing in the development, acquisition and portfolio management of commercial properties, looks back on a successful fiscal year 2023, even in times of a challenging market environment. VIB fully achieved the 2023 guidance. Strategically, VIB not only further increased its focus on the logistics and light industrial segment, but also built a profitable and liquidity-rich second business area, Institutional Business, within a year.

„Last year, we achieved our strategic goals as well as our guidance. We will continue to work on the consistent implementation of our strategy, even in the current challenging market environment,“ explains Dirk Oehme, speaker of the Managing Board of VIB.

Gross rental income and FFO at upper end of guidance range
At EUR 86.9 million, gross rental income was slightly below the previous year (EUR 93.8 million) due to sales, but at the upper end of the guidance (EUR 82-88 million). At EUR 72.6 million, funds from operations (FFO) were above the previous year’s level and also at the upper end of the communicated guidance (EUR 68-74 million). At 2.1%, the vacancy rate remains at a very low level.

Consolidated net income significantly above previous year’s level
Earnings from ordinary business activities increased significantly to EUR 151.7 million (previous year: EUR 61.9 million). This is primarily due to profits from property sales. For the same reason, consolidated net income also increased significantly, to EUR 130.8 million from EUR 54.7 million in the previous year.

Retention of profits also planned for 2023
To finance pending investments and project developments, the Managing Board and the Supervisory Board of VIB plan to propose to the Annual General Meeting to retent the profits of 2023.

FFO guidance between EUR 62 and 68 million
For the 2024 financial year, the Managing Board projects gross rental income in a range of EUR 72-78 million, below the 2023 level, due to the annualized effect of sales made during the year. Funds from operations (FFO) are forecasted between EUR 62 million and EUR 68 million. The company continues to plan for a vacancy rate in the low single-digit percentage range.

Neuburg/Donau, 26 March 2024: VIB Vermögen AG, a company specializing in the development, acquisition and portfolio management of commercial properties, is acquiring 89.9% of seven real estate companies with a total of eight properties from its parent company Branicks Group AG for a purchase price of around EUR 99 million as part of a share deal. The eight properties generate annualized rents of around EUR 13 million.

The transaction further strengthens VIB’s successful, value-generating positioning and rental income. On 14 March 2024, VIB published results for the financial year based on preliminary figures that were above the previous year’s level and at the upper end of the communicated target.

“The substantial rental income from the acquired assets will help us to achieve a positive performance in 2024 as well,” commented Dirk Oehme, Speaker of the Board of VIB Vermögen AG, on the transaction.

The publication of the annual and consolidated financial statements and the annual report for the 2023 financial year is scheduled for 30 April 2024.
