Neuburg/Danube, 29 April 2026. VIB Vermögen AG (“VIB”), a company specializing in the development, acquisition, and management of commercial real estate, continued its transformation process and successfully concluded the 2025 financial year. In addition to further strengthening its office asset class within the Commercial Portfolio segment, the company also advanced the development of its Institutional Business (IBU) division. With the acquisition of the IBU business of Branicks Group AG in 2025, the VIB Group established itself as one of the largest players in the German commercial real estate market. As of December 31, 2025, VIB managed a real estate portfolio valued at over EUR 10 billion.

By focusing on the real estate business with its own properties on the one hand, and real estate management for institutional investors on the other, VIB not only demonstrates its full competence in the field of real estate management, but also sees itself as significantly more resilient in the current challenging economic and geopolitical environment.

Speaker of the Board, Dirk Oehme commented: “Last year, we took another important step in our corporate transformation. With the acquisition of the IBU business from Branicks Group AG, we were able to expand our business in this segment significantly and at once, creating a second pillar for VIB alongside our traditional real estate management of our own portfolio. This process would not have been possible at this pace and with this level of quality without the close connection to our parent company. As a result, we believe we are very well positioned for the future in these challenging economic and geopolitical times.”

Key figures for the 2025 financial year

The VIB Group generated an FFO result (before taxes and minority interests) of EUR 80.5 million in the 2025 financial year, which was within the range of the communicated guidance of EUR 78 to 82 million.

Gross rental income rose significantly by 17% to EUR 103.8 million, remaining within the guidance range of EUR 101 to 105 million communicated at the beginning of the year. The year-on-year increase is primarily attributable to property acquisitions in the office asset class in the years 2024 and 2025. These acquisitions were offset by property sales, which led to a reduction in gross rental income.

The expansion in the Institutional Business segment was further accelerated by the acquisition of the IBU division of Branicks Group AG in the fiscal year 2025. This significantly increased property management fees from EUR 7.2 million to EUR 41.3 million.

The vacancy rate was also in line with expectations, reaching 6.3% as of December 31, 2025. Despite the slight increase compared to the previous year, this figure remains at a good level compared to the industry average and continues to reflect the high quality of the VIB Group’s own real estate portfolio.

To finance upcoming investments and project developments, as well as upcoming maturities in 2026, the Management Board and Supervisory Board of VIB plan to propose a minimum dividend of 0.04 euros per share to the Annual General Meeting and to retain the majority of the net profit.

Diversified portfolio structure: Assets under management rise to EUR 10.1 billion

With a managed real estate portfolio of 247 properties, the VIB Group reached a record high on December 31, 2025. The total usable area was 3.5 million sqm and the annualized net rental income was EUR 519 million.

The acquisitions made last year in the office asset class are also reflected in the portfolio structure of the Commercial Portfolio (100 properties, market value EUR 1.8 billion, net rental income EUR 102.3 million, lettable area 912k sqm). Based on net rental income, properties in the logistics & light industrial asset class accounted for 35.2% and office properties for 57.7%. The remainder is distributed between retail properties (5.6%) and other properties (1.5%).

Through the acquisition of the Institutional Business of Branicks Group AG, the number of properties increased to 147 as of December 31, 2025. The leasable area was 2.6 million sqm, and the net rental income amounted to EUR 417 million. Office properties accounted for 80.7% of the net rental income, followed by logistics & light industrial properties at 15.2%. Retail properties made up 3.0%, and other properties accounted for 1.1%.

In addition to acquisitions, VIB took advantage of the continued high market demand and also sold properties. As in the previous year, an attractive sales profit of EUR 48.6 million was achieved in 2025.

Guidance 2026 – Continued optimization within Commercial Portfolio and further growth in the Institutional Business

From VIB’s perspective, it cannot be ruled out that the challenging economic environment and geopolitical tensions will persist in the coming months. While we currently do not foresee any significant impact on our operations, negative effects on VIB cannot be excluded, particularly in the transaction-dependent Institutional Business.

Based on property sales completed in 2025, VIB expects gross rental income of EUR 85-95 million in the Commercial Portfolio segment for the current fiscal year 2026. Due to the growing importance of the Institutional Business segment, VIB is forecasting income from property management fees for the first time in 2026. VIB anticipates a recovery in this segment for the current fiscal year, with management fees expected to rise to EUR 53-63 million. However, due to the aforementioned economic and geopolitical challenges and the associated uncertainties in the transaction market, a precise forecast for property management income from the Institutional Business segment (IBU) is currently very limited.

Under the aforementioned planning assumptions, VIB expects Funds from Operations (FFO) to range from EUR 60-70 million. The anticipated decline in 2026 is due not only to the effect of lower gross rental income but also to the loss of interest income from the loan to Branicks Group AG, which was fully repaid in 2025.

The extraordinary general meeting of VIB Vermögen AG (“VIB”), which took place virtually today, approved the resolutions proposed by the supervisory board and management board by large majorities. In total, 88.55% of VIB’s voting share capital was represented.

Under agenda item 1, the conclusion of a control and profit transfer agreement between DIC Real Estate Investments GmbH & Co. Kommanditgesellschaft auf Aktien and VIB Vermögen AG was approved.

Under agenda item 2, the reduction in the size of the Supervisory Board and a corresponding amendment to the Articles of Association were resolved.

The main reason for this is the resolution on the approval of the control and profit transfer agreement (‘BGAV VIB’) between the company and DIC Real Estate Investments GmbH & Co. KGaA (‘DIC REI’), a wholly owned subsidiary of BRANICKS Group AG (“BRANICKS”), as the controlling company, and VIB as the controlled company on 5 January 2026.

The appropriate compensation payment and exchange ratio provided for in the BGAV VIB for the settlement of VIB’s outside shareholders in exchange for BRANICKS shares, based on the valuation report jointly commissioned by both companies, was confirmed today by the court-appointed expert auditor.

Neuburg/Danube, 22 December 2025. VIB Vermögen AG (‘VIB’), a company specialising in the development, acquisition and management of commercial real estate, announces the notarisation of the sale of a logistics property in Großmehring as an asset deal. The property is the logistics site at Junkers-Ring 7 in Großmehring, close to the A9 motorway in the immediate catchment area of Ingolstadt. The site is being sold to a European investor. The transaction is expected to be completed in the first quarter of 2026. The parties have agreed not to disclose the purchase price.

The logistics property in Großmehring was completed in 2021 and has since been part of VIB-Vermögen AG’s own portfolio. The site covers an area of 12,470 square metres, with a lettable area of 7,068 square metres. It is a single-tenant property.

VIB Vermögen AG sells two logistics centres in southern Germany

Neuburg an der Donau, 7 October 2025. VIB Vermögen AG (‘VIB’), a company specialising in the development, acquisition and management of commercial real estate, announces the sale of two logistics centres in southern Germany. These are the logistics site in Ingolstadt, Bunsenstraße, which was sold to Deka Immobilien Investment GmbH, and the logistics site in Kösching, Zeppelinstraße, which was sold to the MiDEAL Group. Both transactions were completed at the end of September. The parties have agreed not to disclose the purchase prices.

The state-of-the-art logistics centre in Ingolstadt, Bunsenstraße 9, near the A 9 motorway, has a rental area of around 16,000 sqm, was completed in 2025, is fully let to a global logistics service provider.

The second property is the Kösching logistics centre at Zeppelinstraße 33, built in 2020, also near the city of Ingolstadt and the A 9 motorway. Its total rental space is around 15,200 sqm. It is fully leased to companies in the automotive industry.

Neuburg/Danube, August 27, 2025. VIB Vermögen AG (“VIB“), a company specializing in the development, acquisition and management of commercial real estate, achieved further milestones in its diversification strategy in the first half of 2025. On the one hand, the transactions carried out enabled office properties to establish themselves as a second and equivalent asset class alongside logistics. On the other hand, the acquisition of the institutional business of Branicks Group AG, which was completed after the balance sheet date of June 30, was an important strategic development. This will significantly strengthen another pillar of VIB’s business model in the future and at the same time lay the foundation for additional high-quality growth.

Increase in gross rental income and FFO, solid balance sheet ratios

Gross rental income rose significantly by 22% year-on-year to EUR 50.2 million (previous year: EUR 41.1 million) due to the real estate transactions completed in 2024 and in the first half of 2025. As a result, annualised net basic rents as of the reporting date increased by 13% to EUR 103.5 million (previous year: EUR 91.6 million).

Funds from operations (FFO) before taxes and minority interests also rose significantly in the first half of the year compared with the same period last year, up 20% to EUR 47.8 million (previous year: EUR 40.0 million), corresponding to FFO per share of EUR 1.45 (previous year: EUR 1.21).

VIB’s total assets exceeded the two billion euro mark for the first time in the company’s history, reaching a value of EUR 2.1 billion as at June 30, 2025 (December 31, 2024: EUR 1.9 billion). The increase is mainly due to the EUR 0.3 billion rise in investment properties to EUR 1.6 billion (December 31, 2024: EUR 1.3 billion). Equity rose from EUR 932.0 million to EUR 977.1 million particularly as a result of the consolidated net profit generated. The equity ratio stood at 45.7%, compared with 49.1% as at December 31, 2024.

Balanced real estate portfolio with low vacancy rate

At the end of the first half of the year, the real estate portfolio under the umbrella of the VIB Group comprised 128 properties with a total usable floor space of 1.91 million square metres. Of these, 86 properties with a useful floor space of 0.97 million square metres are owned by VIB, while 42 properties with a floor space of 0.94 million square metres are attributable to the Institutional Business segment.

Logistics and light industrial properties accounted for 44% of the in-house portfolio, office properties for 50%, retail properties for 5% and service/other for 1%. The vacancy rate in the portfolio remained low at 4.6% as at June 30.

With the acquisition of the institutional business from the Branicks Group after the balance sheet date, this segment will experience massive growth at VIB in the future. The total volume in this business segment now comprises 147 properties with 2.6 million square metres of rentable space and a total portfolio value of EUR 8.4 billion. The office asset class dominates with a 77% share, followed by logistics with 12%, retail with 6% and mixed use/other with 5%.

The VIB Group continues to have a very solid financing structure. The average interest rate on bank loans was 2.4% per annum (December 31, 2024: 2.5% per annum). The LTV (loan-to-value) ratio, an important indicator of indebtedness, was 40.6% as of 30 June (December 31, 2024: 37.0%).

Guidance for fiscal year 2025 confirmed

Business performance in the first half of the year was in line with expectations. All sales and acquisitions were completed as planned. In the area of property management, in-house asset management by VIB Group employees continues to prove its worth. All important and control-relevant real estate KPIs and balance sheet figures developed as planned.

Dirk Oehme, Speaker of the Executive Board of VIB, comments: “We can look back on a very successful first half of the year in which we were again able to achieve some important milestones in our business strategy. With the acquisition of additional office properties, we have now succeeded in firmly establishing a second, equivalent asset class alongside logistics in our portfolio. In addition, we will also grow strongly in the Institutional Business segment in the future. Both pillars, our own portfolio and the Institutional Business, will enable our company to grow significantly in the coming years and ensure stable earnings in the long term.”

In the half-year report presented, the Management Board confirms the guidance for the full year communicated in mid-March 2025 and expects gross rental income of EUR 101–105 million, FFO of EUR 78–82 million and a vacancy rate in the low single-digit percentage range.

Neuburg/Danube, August 26, 2025. VIB Vermögen AG (“VIB”), a company specializing in the development, acquisition, and management of commercial real estate, today announced the sale of two logistics properties in Regensburg to a European real estate investor in the warehouse and light industrial sector. The closing took place in mid-August 2025. The parties have agreed not to disclose the purchase price.

“We are pushing ahead with VIB’s diversification strategy and realignment and further sharpening the focus of our portfolio on project development and holding newer properties,” said Dirk Oehme, spokesman for the Management Board of VIB Vermögen AG, commenting on the transaction. “We are thus continuing the transformation of VIB into a well-balanced portfolio holder of commercial real estate with a focus on logistics&light industrial and office space in Germany and neighboring countries.”

The sales include a fully let single-tenant property in Regensburg, Rathenaustraße 3, built in 2006, with a plot size of 27,237 and a rental area of 10,250, as well as a multi-tenant property in Regensburg, at Irler Höhe 40 -42, built in 1978 and 1984-1989, with a plot size of 20,254 sqm and a rental area of 9,405 sqm.

Neuburg a. d. Donau, 7 August 2025: The Annual General Meeting of VIB Vermögen AG (‘VIB’), which took place virtually yesterday, approved all resolutions proposed by the Supervisory Board and the Managing Board with large majorities. In total, more than 86% of VIB’s voting share capital was represented.

The Managing Board members Dirk Oehme (Spokesman of the Executive Board) and Nicolai Greiner as well as the members of the Supervisory Board were approved for the 2024 financial year with high approval rates. The Annual General Meeting also elected Mr Jürgen Josef Overath as a new member of the Supervisory Board. He succeeds Mr Johannes von Mutius, who resigned from the Supervisory Board with effect from the end of 23 March 2025.

The Annual General Meeting also resolved to pay a dividend of EUR 0.04 per share and the creation of new conditional capital in order to ensure the best possible flexibility for VIB Vermögen AG’s corporate financing. The appointment of a special auditor requested by two shareholders was rejected by a large majority.
